Terms of Service
These Terms of Service ("Terms") govern access to and use of QRIOAPP, including its digital-menu, restaurant-page, QR-menu, menu-management, translation, import, and related features (the "Service").
The Service is operated by Andrii Fomin, Individual Entrepreneur, registered in Ukraine ("QRIOAPP," "Qrio," "we," "us," or "our"). For support, contact info@qrioapp.co.
By creating an Account, subscribing to a paid Plan, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Business Use and Accounts
The Service is intended for businesses and persons acting for business or professional purposes. It is not intended for personal consumer use.
By creating an Account, you confirm that:
- you are authorized to act for the business identified in the Account;
- the information you provide is accurate and current;
- you will keep your login credentials secure;
- you are responsible for activity performed through your Account and by people you authorize to use it.
Notify us promptly at info@qrioapp.co if you become aware of unauthorized Account access. We may request reasonable evidence that you are authorized to manage an Account where an ownership or access dispute arises.
2. The Service and Plans
QRIOAPP allows businesses to create and manage digital menus, public restaurant pages, QR-code menus, translations, menu imports, images, opening hours, Guest feedback, and related content.
Features and limits depend on the selected Plan. Current Plan descriptions and prices are displayed on the QRIOAPP pricing page and during checkout.
We may improve, modify, replace, or discontinue features. We will not materially reduce the principal features of a paid Plan during its current paid billing period without reasonable notice.
The Free Plan may display QRIOAPP branding on public menus and restaurant pages.
3. Paid Subscriptions and Paddle
Paid subscriptions are sold by Paddle, acting as Merchant of Record and authorized reseller. Paddle processes payments, taxes, invoices, refunds, chargebacks, and certain subscription-management activities. Your purchase is governed by Paddle's Buyer Terms and Refund Policy presented during checkout.
Paid subscriptions renew automatically at the billing interval and price disclosed during checkout until cancelled.
Where a free trial is offered, its duration, first charge date, post-trial price, and billing interval will be shown before subscription confirmation. Unless cancelled before the trial expires, the subscription will automatically become paid.
You may cancel through the QRIOAPP Subscription page. Cancellation takes effect at the end of the current paid billing period unless Paddle indicates otherwise.
Upgrades may take effect immediately. Downgrades normally take effect at the end of the current billing period. Content exceeding a lower Plan's limits may become unpublished or unavailable until the Account is upgraded or the content is reduced to the applicable limits.
If payment fails, paid features may be suspended or downgraded until payment is resolved.
4. Refund Policy
Refund requests are handled by Paddle in accordance with Paddle's Refund Policy and applicable mandatory law. To request a refund or obtain help with a Paddle transaction, visit paddle.net. QRIOAPP does not issue refunds directly outside Paddle's payment system.
5. Customer Content
"Customer Content" means information and materials submitted through your Account, including restaurant information, menus, prices, descriptions, ingredients, allergens, translations, opening hours, logos, images, and feedback collected for your restaurant.
You retain ownership of your Customer Content. You grant QRIOAPP a worldwide, non-exclusive, royalty-free license to host, store, process, format, translate, reproduce, transmit, publish, and display Customer Content solely as necessary to provide, secure, maintain, and support the Service. This permission includes allowing our hosting, infrastructure, translation, AI, and document-processing providers to process Customer Content on our behalf.
You confirm that:
- you have the necessary rights to use and publish Customer Content;
- Customer Content does not violate applicable law or third-party rights;
- restaurant details, prices, ingredients, allergens, and dietary information are accurate and current;
- you are authorized to represent the restaurant or business identified in the Account.
QRIOAPP is a presentation and management platform and does not independently verify restaurant or menu information.
6. AI-Assisted Features
QRIOAPP may provide AI-assisted menu import and translation. AI-generated or imported output may be inaccurate, incomplete, or misleading. Errors may affect dish names, ingredients, prices, allergens, dietary information, or translations.
You are responsible for reviewing AI-generated and imported content before publishing it or continuing to display it to Guests.
Do not submit personal data, confidential information, sensitive information, or third-party content to AI features unless you are authorized to do so and the submission is reasonably necessary.
To provide these features, relevant menu content, files, and images may be processed by third-party AI, translation, or document-processing providers as explained in the applicable Privacy Policy.
7. Guest Feedback and Data Protection
Where you enable Guest feedback, you determine why Guest information is collected and how it is used. You are responsible for:
- providing any notices required for your use of Guest information;
- having an appropriate legal basis where required;
- responding to requests concerning Guest feedback;
- using Guest information only for lawful business purposes.
Where QRIOAPP processes Guest feedback solely on your behalf, QRIOAPP acts as your service provider or data processor under the applicable Data Processing Addendum.
QRIOAPP may separately process Account, security, support, subscription, fraud-prevention, and service-usage information for its own operational purposes as described in its Privacy Policy.
8. Acceptable Use
You must not:
- use the Service unlawfully or fraudulently;
- submit deceptive, abusive, defamatory, unlawful, or infringing content;
- use content, images, trademarks, or other materials without the necessary rights;
- send spam or misuse Guest-feedback features;
- interfere with the security, availability, or operation of the Service;
- upload malware or attempt unauthorized access;
- evade Plan limits, usage restrictions, or security controls;
- abuse AI translation or import features;
- scrape, reverse engineer, resell, or sublicense the Service except where expressly permitted or where restriction is prohibited by law;
- impersonate another restaurant, business, or person.
We may remove or unpublish content and suspend or terminate Accounts that violate these rules.
9. Intellectual Property
QRIOAPP and its licensors retain all rights in the Service, including its software, design, branding, technology, and documentation, excluding Customer Content.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to access and use the Service for your business during the applicable Account or subscription term. No ownership rights in QRIOAPP are transferred to you.
10. Availability and Disclaimers
We work to keep QRIOAPP available and reliable, but we do not guarantee that the Service will always be uninterrupted, secure, or error-free. Maintenance, technical failures, third-party-service disruptions, security incidents, or events beyond our reasonable control may temporarily affect availability.
To the maximum extent permitted by law, the Service is provided "as is" and "as available." QRIOAPP does not guarantee:
- the accuracy of AI-generated translations or imported content;
- continuous availability of public menus or QR-code destinations;
- that all defects or errors will be corrected immediately;
- that Customer Content is accurate, lawful, or suitable for Guests.
Restaurants are responsible for verifying all prices, ingredients, allergen information, dietary information, and translations before displaying them to Guests. Menu content and AI-generated translations are provided for informational purposes only and should not be relied on as a substitute for confirming safety-critical information directly with the restaurant.
11. Limitation of Liability
To the maximum extent permitted by applicable law, QRIOAPP will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, business opportunities, or goodwill.
If QRIOAPP is legally liable for a proven loss, QRIOAPP's total aggregate liability to you arising out of or relating to the Service during any 12-month period will not exceed the greater of:
- the amount paid for the Service through Paddle during that period; or
- EUR 100.
This limitation does not create an automatic right to compensation. You are responsible for retaining copies of important Customer Content. These limitations do not apply where liability cannot lawfully be excluded or limited, including liability for fraud or deliberate misconduct.
12. Suspension, Termination, and Account Data
You may stop using QRIOAPP or close your Account at any time. Cancelling a subscription and closing an Account are separate actions unless the Service expressly indicates otherwise.
We may suspend or terminate access where:
- these Terms are breached;
- payment fails or a subscription expires;
- the Account or Service is used fraudulently or unlawfully;
- the Account presents a security or abuse risk;
- required by Paddle, a payment network, a court, or applicable law.
For ordinary remediable breaches, we will normally provide notice and a reasonable opportunity to correct the breach. Immediate action may be taken for fraud, unlawful activity, serious abuse, security threats, or non-remediable violations.
After closure or termination:
- public menus and restaurant pages may become unavailable;
- existing QR codes may lead to an unavailable page;
- Customer Content may be deleted after a reasonable recovery period;
- residual copies may remain temporarily in backups;
- limited information may be retained for security, tax, legal, fraud-prevention, or dispute-resolution purposes.
You should retain your own copies of important Customer Content before closing the Account.
13. Changes to Plans and Terms
We may change Plan features, limits, or prices for future billing periods. Reasonable notice will be provided for material changes affecting an active paid subscription.
We may update these Terms. Material changes will be communicated by email, through the Service, or by another reasonable method. Continued use after the effective date of updated Terms constitutes acceptance, except where applicable law requires another form of consent.
14. Governing Law
These Terms are governed by the laws of Ukraine, without regard to conflict-of-laws principles. Disputes will be subject to the competent courts of Ukraine, except where mandatory applicable law requires otherwise.
15. General
If part of these Terms is found unenforceable, the remaining provisions remain effective. Failure to enforce a provision does not waive our right to enforce it later.
You may not assign these Terms without our consent. We may assign them as part of a merger, restructuring, financing, or transfer of the Service or relevant business assets.
We are not liable for delays or failures caused by events outside our reasonable control.
The Privacy Policy and any applicable Data Processing Addendum form part of the contractual relationship concerning the Service.
